Terms

These terms govern two different things: displaying ads and being paid for it (part 2), and buying ads (part 3). Part 1 and part 4 apply to both. By creating an account, or by booking a campaign, you accept them.

Part 1General

1 · Who these terms are between

Sirius Pelikan, trading as Pelikan Studios, a sole proprietorship under Swiss law (“we”, “us”), and you. Our full details are in the imprint. How we handle data is described in the privacy policy, which forms part of this agreement.

2 · What the service is

We publish an application that displays short advertisements in the menu bar or taskbar of your computer. Advertisers pay us for those displays, and we pay a share to the people whose screens showed them. The application costs nothing.

We offer the service for as long as we choose to. There is no claim to permanent availability, to any particular uptime, or to the service continuing to exist. We may change how it works, and we may discontinue it entirely; if we discontinue it, section 10 says what happens to money we still owe you.

3 · Who may use it

You must have the legal capacity to enter into this agreement. If you are under 18, you need the consent of your parent or legal guardian, and the bank account you give us must be one you are entitled to use. We may ask for proof at any time and may suspend an account until we get it.

Part 2If you display ads

4 · Your account

  • You receive an ID and a passkey. The passkey is shown once and cannot be recovered. We store only a checksum of it, so we cannot look it up, reset it or send it again. If you lose it, you lose access to the account and to any balance in it. Write it down somewhere safe. If it happens anyway, contact us: we will do what we can, but there is no automatic way back.
  • One account per person and per bank account. You add the bank account on your account page once you want to be paid; a bank account that is already linked to one adflow account cannot be added to a second one. Once added, it is changed only on request by email, not on the account page. The same applies to a Stripe account connected instead of a bank account: one per person, and in your own name.
  • An account is linked to one device at a time. Linking a new device unlinks the previous one, and the previous one stops earning.
  • The account is yours alone. Do not pass the ID and passkey to anyone else; anything done with them counts as done by you.

5 · What you earn

A display earns you money only if our server counted it. The count our server keeps is what settles the account. You can see it at any time on your account page and in the app itself; if you believe it is wrong, tell us within 30 days of the display concerned.

What you have a claim to is a share of what an advertiser paid. When no campaign is running, the app keeps showing something so the bar does not sit empty. Nobody paid for those displays, so there is no revenue to share and no claim to anything for them.

While the service is starting up we nevertheless pay for them, out of our own pocket and at the same rate, so that a new account is not stuck at zero, up to 1.00 USD per account per day. This is a voluntary bonus, not part of what you are owed. It runs against a fixed budget, and we may reduce or end it at any time without notice; the 30 days in section 6 apply to the rate, not to this. Whether a display was paid is decided by our server and shown in the app either way.

Inviting a friend. Each account has an invite link. If a friend creates an account through it, you both receive 1.00 USD once the friend's account is 30 days old and has shown 500 paid displays. There is one level only: nothing for anyone your friend invites. Invitations do not count for accounts created from the same internet connection as yours, at most 10 per account count, and only while the budget we set aside for them lasts. Like the start-up bonus, this is voluntary and paid by us; we may end it at any time for invitations that have not yet qualified. Inviting yourself or creating accounts for the bonus breaks section 8.

Milestones. We show publicly how many displays the network has served. When it reaches a milestone, we may credit a one-off bonus to every account that had a counted display in the 7 days before. Whether there is one and how much is shown on our home page before the milestone is reached. It is voluntary and not part of what you are owed.

Also not paid: displays above the daily limit, displays shown by an app that is not linked to an account, and our own notices: a server outage message, an update prompt, an announcement.

6 · We may change the rate

The rate per display depends on what advertisers pay us, and that changes. We may therefore change the rate, the daily limit and the revenue share. We will announce a change at least 30 days before it takes effect, through a notice in the app. Displays counted before the change are settled at the old rate; the new rate applies only to displays after it.

If you do not accept a change, you may close your account and ask for your balance to be paid out; section 10 applies.

  • You request a payout on your account page. We transfer the full balance, not part of it.
  • Bank charges. We pay what our own bank charges to send the money. Charges raised by your bank or by an intermediary bank (they are common on international transfers and can be a significant share of a small amount) come off the amount you receive. We cannot control them and do not reimburse them. This is one reason for the minimum in the table.
  • Payouts through Stripe. Instead of an IBAN you can connect a Stripe Express account from your account page. You open it on Stripe's own pages and accept the Stripe Connected Account Agreement; Stripe checks your identity and your bank details itself. We transfer your balance in USD to that account, and Stripe pays it out to your own bank, in your local currency where needed. We pay Stripe's charges for the transfer. If Stripe converts the currency, its conversion fee comes off the amount you receive. Stripe is offered only for the countries listed on the account page.
  • One way at a time. An account is paid either to an IBAN or to a Stripe account, not both. Once chosen, the way you are paid is changed only on request by email, so that nobody who obtains your passkey can redirect a payout.
  • Wrong or closed IBAN. If a transfer bounces, the amount goes back into your balance, minus any charge the return caused, and we ask you for correct details. If we cannot reach you, section 10 applies.
  • Taxes are yours. We do not withhold anything. Declaring this income where you live is your responsibility. In Switzerland small side earnings may also be relevant for AHV contributions; if you earn more than a token amount, ask your cantonal compensation office or a tax adviser.

8 · What is not allowed

The service pays for advertising that a person actually sees. Anything that produces displays without a person seeing them takes money out of the pot for everyone else. So, specifically, you must not:

  • generate displays other than by actually running the app on a computer you use: no scripted requests, no modified or reimplemented client, no replayed or forged traffic;
  • run the app solely to accumulate displays: on a machine nobody uses, on a virtual machine kept running for the purpose, or on many machines under your control;
  • hold more than one account, or get paid to a bank account or Stripe account that is not yours;
  • hide, cover, shrink or automate the display so that it is not actually visible;
  • interfere with our servers, or try to obtain data that is not yours.

What happens then. If we have concrete grounds to believe you have broken one of these rules, we may suspend the account while we look into it, and block it if the grounds hold. We do not pay for displays that arose from a breach, and where the breach affects the account as a whole (a second account, an IBAN that is not yours, an automated client), we do not pay out that account's balance at all. We will tell you what we found and give you the chance to respond before a block becomes final, unless the law prevents us.

9 · The app on your computer

The app is provided as it is, free of charge, for personal use. You may install it on computers you use yourself. You may not sell it, rebuild it into another product, or remove the parts that report displays to us.

It shows a bar on your screen and asks your operating system for what it needs to place that bar correctly; on macOS this can include the accessibility permission. It reads no documents and no browsing history; the privacy policy sets out exactly what it sends us.

10 · Ending the agreement

  • You may stop at any time: uninstall the app, or ask us to delete the account. Before you do, request any balance you have, because deleting the account ends the claim to it.
  • We may terminate with 30 days' notice, and immediately if you break section 8. On ordinary termination, and if we discontinue the service, we pay out your balance even if it is below the minimum, provided a transfer is possible at all and the bank charges do not exceed the amount.
  • Unclaimed balances. If an account is closed, or if we cannot reach you after a failed transfer, the balance stays available to you for 12 months. After that it lapses.
Part 3If you book an ad

11 · What you are buying

You buy a number of displays: your ad appearing on a user's screen for 60 seconds and being confirmed by the app. You are not buying clicks, visitors, sales, or a position in a rotation, and we promise none of them.

Prices are final and in USD. If your card is billed in another currency, your bank sets the rate and may add a fee; that is between you and your bank.

12 · How a booking comes about

You fill in the form, pay by card, and the campaign starts once our payment provider confirms the payment and we have verified with them what was actually paid. The contract comes about when the campaign goes live, not when you submit the form. A booking that is never paid is deleted automatically after 24 hours.

You receive a campaign code. It is the only thing protecting your campaign page, where you can watch delivery in real time. Treat it as a password.

Case study, only if you ticked the box. If you agreed when booking, we may show the results of your finished campaign on our case study page: brand and ad text, displays delivered, runtime, the price you paid and the share that went to the people running the app. Never your email address or campaign code. You can withdraw at any time by writing to us; we then take it down within 7 days.

13 · Delivery

We deliver the displays you bought as inventory allows. There is no delivery deadline: how fast a campaign runs depends on how many people are running the app, and we cannot promise a rate. A campaign ends when the number of displays you bought has been delivered.

Our count settles the account. It is the same count that pays our users, it is visible to you continuously on your campaign page, and it is the figure we use. If you think it is wrong, tell us within 30 days of the campaign ending.

14 · What you may advertise

You are responsible for your ad and for the page it links to. By booking you confirm that both are lawful and that you hold the rights to every part you submit: text, name, mark, colours. Specifically, an ad must not:

  • be unlawful, or promote anything unlawful;
  • attack or demean people on account of origin, nationality, religion, sex, sexual orientation, disability or age;
  • show or offer sexual content, violence, weapons, drugs, tobacco, or gambling without the licence such an offer requires;
  • mislead: no false claims, no invented endorsements, no pretending to be someone else, no imitation of a system message or an operating system dialogue;
  • distribute malware, or lead to a page that phishes for passwords or payment data;
  • infringe anyone's trade mark, copyright or personal rights;
  • offer financial, medical or legal services in a way that requires an authorisation you do not hold.

The target link must use https, must work, and must lead to the offer the ad describes. You may not change what it points to after the campaign has started in a way that would break these rules. We check links again while a campaign runs.

15 · We may refuse or stop an ad

Every booking is checked automatically before it goes live, and we can look at any campaign ourselves at any time. We may refuse a booking, or stop a running campaign, at our discretion, in particular for a breach of section 14, but also where an ad would damage the reputation of the service or upset the people whose screens show it. We do not have to give reasons, though normally we will.

  • If we stop it for a reason that is not your fault (a technical problem, a decision of ours, the service being discontinued), you get the money back for the displays not yet delivered, and we may simply refund the whole payment.
  • If we stop it because you broke section 14, we keep the amount for the displays already delivered, and refund the rest only if we choose to. If your ad caused us loss (a claim by a third party, a penalty, the cost of dealing with it), you cover it.
  • An automatic check flags an ad far more readily than a person would. A flagged booking is looked at, not thrown away.

16 · Cancellation and refunds

A campaign starts as soon as it is paid, and displays already delivered cannot be taken back. There is therefore no general right to cancel a running campaign. If you want one stopped, write to us: we will stop it, and refunding the undelivered part is at our discretion.

If you are a consumer in the EU or EEA and a statutory right of withdrawal applies to you, then by booking you expressly ask us to begin delivery immediately and acknowledge that the right lapses once the campaign has been delivered in full. If you withdraw before then, we keep the value of what was already delivered.

17 · Chargebacks

If you dispute a payment with your card issuer, the campaign stops immediately and stays stopped until the dispute is decided. We keep records of every display delivered and use them as evidence. If the dispute is decided in your favour the campaign stays off; if it is decided in ours, it continues automatically.

A chargeback for a campaign that was in fact delivered is not a way of getting a refund; section 16 is. If a payment is reversed after delivery, you still owe the price, plus what the reversal costs us.

Part 4Both

18 · Changes to these terms

We may change these terms. A change is announced in the app (a notice appears in the bar the next time it checks in with our server, at the latest an hour after the change), and the current version is always on this page. A change takes effect 30 days after it is announced.

If you do not accept it, stop using the service before then and, if you have a balance, request it; the old terms apply to that payout. For advertisers, a change never applies to a campaign already booked.

19 · Liability

We are liable without limit for damage caused intentionally or through gross negligence, and for personal injury. This cannot be excluded, and Art. 100 of the Swiss Code of Obligations makes any attempt to do so void.

Beyond that, and so far as the law allows, our liability is excluded, in particular for slight negligence, for lost profit, for lost data, for the service being unavailable, and for damage caused by software or hardware outside our control. Where liability cannot be excluded but may be limited, it is limited to the amount you paid us, or that we owe you, in the twelve months before the event.

We are not responsible for the content of advertisements or for the websites they link to; those belong to the advertisers. We check them and can stop them, and that is the extent of it.

20 · Applicable law and jurisdiction

Swiss law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Tägerig (canton of Aargau), Switzerland.

If you are a consumer, this does not take away the protection of the mandatory law of the country you live in, nor a court there that the law gives you regardless of this clause.

21 · The rest

If a provision of these terms turns out to be invalid, the rest stays in force and the invalid one is replaced by what comes closest to its purpose. Failing to insist on a right once does not give it up. We may transfer this agreement to a legal entity that takes over the service; you may not transfer your account.
